  • Initial fee: $49,500 as the initial franchise fee for a single geographic territory that includes up to 40,000 Qualified Households (which are households that are owner-occupied and have over $60,000/year in household income), as reasonably determined by us (a “Base Territory”). If at the time of signing your Franchise Agreement, and subject to the market type and availability, we may permit you to increase the size of your Base Territory, with the initial franchise fee increasing by an amount equal to (i) the number of Qualified Households in your territory that exceed 40,000 Qualified Households at the time of the signing of the Franchise Agreement, multiplied by (ii) $1.25. Except to the extent that we may agree to increase the size of a Base Territory as described herein, the initial franchise fee is uniform; however, we may offer discounts if you purchase multiple territories (see below), and we will also offer a $4,950 discount off of the initial franchise fee for a Base Territory (and not for Additional Territories, as the term is defined below) to a qualified veteran. In addition, if you currently operate an independent window coverings business, you may convert your existing business to a Bloomin Blinds franchise that meets our qualifying criteria for a Conversion Franchise. The qualifying criteria includes completing training to our satisfaction. The initial franchise fee for a Conversion Franchise will range from $1,000-$20,000, depending on the nature, size and scope of your existing business. The initial franchise fees you pay are non-refundable.
  • Royalty: The greater of 6% of Total Sales or $600 per month (whichever is greater) for each territory, subject to any annual Shortfall Royalty Payment due on the annual Minimum Performance Standard (“MPS”). Monthly, on the last business day of the following month. The $600 per month minimum is waived during your first 12 months of operation, provided you are in compliance under the franchise agreement. For a Conversion Franchise, (i) the Royalty Fee is 2% of Total Sales for the first 12 months of operation as a Bloomin Blinds franchise, 4% of Total Sales for months 13-24 and 6% of Total Sales after 24 months and thereafter, and (ii) the $600 monthly minimum is waived for the first 24 months. “Total Sales” is defined in our franchise agreement as the total dollar amount of all sales generated through your business for a given period, including, but not limited to, payment for any services or products sold by you, whether for cash or credit. Total Sales does not include (i) bona fide refunds to customers, (ii) sales taxes collected, (iii) sale of used equipment not in the ordinary course of business, or (iv) sales of prepaid cards or similar products (but the redemption of any such card or product will be included in Total Sales).
  • Brand fund: You must contribute 2% of Total Sales or $300 per month (whichever is greater), for each territory. Monthly, on the last business day of the following month. We will administer the Fund. During the fiscal year ending December 31, 2024, we spent 5% on production, 18% on media placement, 50% on software development, and 32% on administrative expenses. If less than all of the funds are spent in the fiscal year in which they accrue, the money will remain in the Fund to be spent in the next year. No money from the Fund is spent principally to solicit new franchise sales. We will prepare an unaudited annual financial statement of the Fund within 120 days of the close of our fiscal year and will provide the financial statement to you upon reasonable written request. The Fund is not a trust or escrow account, and we do not have any fiduciary obligations with respect to the Fund. We and our affiliates may, but are not obligated to, contribute to the Fund. We and our affiliates are not obligated to spend any specific amount of the Fund in your market area or for your area. We are not limited to any specific media in which advertising may be disseminated. We are not limited to local, regional or national programs, but may use a combination of the same. We control all expenditures from the Fund and may roll over amounts in the Fund from year to year, although we will not use the Fund for the solicitation of franchises. The Fund will be used for the following - We will generate ads and may solicit outside ad agencies to generate ads from the Fund. We will use outside vendors and consultants to produce advertising. We will maintain the brand website (which may be paid for by the Fund). The Fund will be used to generate marketing materials that franchisees may use, to supplement the cost of a franchise convention and to cover the cost of other brand initiatives. We also may use the Fund to pay personnel we hire to develop branding and advertising programs.

We reserve the right to increase the monthly minimum to an amount greater than $1,500 upon notice to you, but we do not anticipate increasing this amount by more than 30% annually.
